Terms of Engagement

Each engagement begins with a written proposal or letter of engagement that sets out the scope, deliverables, timeline and fees. Work outside that scope is agreed separately.

Fees are quoted in the proposal and are exclusive of applicable taxes. Invoices are payable within 30 days unless agreed otherwise. We may pause work on overdue accounts.

You agree to provide accurate information, timely access to people and records, and decisions needed for us to deliver the work.

Both parties will keep confidential any non-public information received during the engagement, except where disclosure is required by law.

On full payment, you may use the deliverables prepared for you for your internal purposes. We keep ownership of our general methods, tools and training materials.

Our advice is given in good faith based on the information provided. Our total liability for any engagement is limited to the fees paid for that engagement.

Either party may end an engagement with 14 days' written notice. Fees for work completed up to that date remain payable.

These terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka, and disputes are subject to the jurisdiction of the courts of Colombo.
